Terms of Service

Cut Valet is currently in beta. The software is provided on an "as is" basis and is under active development. Features may change, and occasional issues are expected.

These Terms of Service ("Terms") govern your access to and use of the Cut Valet desktop application and the cutvalet.com website (together, the "Service"), provided by Joel Schat operating as Cut Valet ("we", "us", or "our"). By downloading, installing, purchasing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The software and your licence

Cut Valet is a desktop application for macOS and Windows that assists with video post-production tasks such as media ingest, backup, organization, cataloging, and edit-assist tools that work alongside DaVinci Resolve.

When you purchase a licence, we grant you a personal, non-exclusive, non-transferable, perpetual licence to install and use Cut Valet on up to the number of devices permitted by your licence key (currently two devices per licence). Your licence includes updates released during the beta period.

2. Licence restrictions

You agree not to: (a) resell, sublicense, rent, lease, or redistribute the software or your licence key; (b) share your licence key publicly or with people outside your permitted device limit; (c) reverse engineer, decompile, or attempt to derive the source code, except to the extent this restriction is prohibited by applicable law; or (d) remove or alter any proprietary notices.

3. Purchases, pricing, and payment

Cut Valet is sold as a one-time purchase. Prices are shown on our website and may change from time to time; changes do not affect licences already purchased.

Payments are processed by Lemon Squeezy, which acts as our Merchant of Record. This means Lemon Squeezy is the seller of record for your purchase, handles payment processing, and is responsible for collecting and remitting applicable taxes. Your purchase is also subject to Lemon Squeezy's terms. After purchase, your licence key and download link are delivered to the email address you provide at checkout.

4. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

5. Third-party software and services

Cut Valet works alongside third-party tools and services that you supply and control, including DaVinci Resolve (for editing features), YouTube / Google (if you choose to publish), and the Anthropic Claude API (used only for optional text tasks, with your own API key). You are responsible for your own accounts, keys, and compliance with those providers' terms. We are not responsible for third-party services, their availability, or their costs.

6. Beta software; disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will not result in data loss. You are responsible for maintaining your own backups of your footage and projects.

7. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, footage, revenue, or profits, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid for your licence.

8. Termination

These Terms apply for as long as you use the Service. We may suspend or terminate your licence if you materially breach these Terms, including the licence restrictions above. On termination for breach, you must stop using and remove the software.

9. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising from these Terms.
